BY-LAWS
Abstract of the by-laws:

Art.1. On the Purpose of the Foundation
The agreement of ITA concerning the training actions organized by the Foundation is given by the representative of the ITA Committee on Education and Training (ITA-CET).
Art.2. On the Council of Foundation
In addition to the articles 7, 8 and 9 of the Statutes of the Foundation, The Council of Foundation has the competence to:
- Determine the general orientation of the Foundation, after consultation with ITA
- Deliberate whether to accept donations with conditions
- Deliberate on any case not covered by these By-laws
- Refer the activities not foreseen in these By-laws to the Executive Board
- Approve the Foundation's annual activity report
- Approve the internal operational rules
- Establish the rules for the replacement of its members
Art.3. On the Executive Board
The Executive Board has the competence to:
- Approve agreements and contracts between the Foundation and other entities, with the knowledge of the Council of Foundation
- Approve and submit to the Council of Foundation: the salary scale and other compensation that shall be granted to employees of the Foundation, the Foundation’s annual activity plan, the Foundation’s budget plan, its internal controls
- Approve the contracting of Foundation employees, with the knowledge of the Council of Foundation
The Chairman of the Executive Board, nominated in agreement with ITA, has the obligation, with the assistance of the Executive Director and of the Technical Director, to:
- Represent the Foundation actively and passively or carry out this representation in or out of court, being able to delegate these powers and name attorneys or proxies in specific cases
- Call and preside over Executive Board meetings
- Sign agreements, contracts, adjustments or any type of deals with private or public entities or with private individuals, with the intention of ensuring the full accomplishment of the Foundation’s purposes, observing the guidelines established by the Council of Foundation
- Submit annually to the Council of Foundation the salaries and other compensation to be granted to the Foundation’s employees
- Contract the necessary employees to the Foundation, after approval by the Council of Foundation
- Raise with the Council of Foundation any questions pertinent to rights, duties and compensation to the Foundation’s technical and administrative personnel
- Analyze projects submitted to the Foundation, requesting any necessary specialized technical advice
- Monitor the execution of projects that have been contracted by the Foundation,
- Manage resources in association with funding bodies
- Organize the Foundation’s annual activity plan and submit it to the Council of Foundation
- Fulfil other duties as assigned by the Council of Foundation.
In the absence of the Chairman of the Executive Board, the Executive Director shall act as substitute and, in his/her absence, the Secretary.
The Secretary has the obligation to:

Draw up and submit to the Executive Board and the Council of Foundation the annual activity report of the activities and publish it, after approval of the Council of Foundation,
- Draw up and register the Minutes of the meetings of the Executive Board,
- Draw up and monitor the accounts relating to the Foundation’s activities
- Supervise the Foundation’s administrative and accounting services,
